TECHMITA LIMITED TERMS OF SERVICE

Welcome to Techmita Limited (“we,” “our,” or “the Company”). These Terms of Service (“Terms”) govern your access to and use of our website, services, and any engagement with Techmita Limited.

By accessing or using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Client Service Agreement, which takes precedence in all project-related matters.

If you do not agree with these Terms, you must refrain from using our services.


1. ACCEPTANCE OF TERMS

These Terms apply to all users, clients, and visitors interacting with Techmita Limited.

Engaging our services constitutes full acceptance of:

  • These Terms of Service
  • Our Client Service Agreement
  • Any applicable proposals, invoices, or project-specific agreements

2. RELATIONSHIP WITH CLIENT SERVICE AGREEMENT

These Terms are designed to operate alongside the Techmita Limited Client Service Agreement.

  • In the event of any conflict, the Client Service Agreement shall prevail
  • These Terms provide general guidelines, while the Client Service Agreement governs project execution, payments, timelines, and deliverables

3. SCOPE OF SERVICES

Techmita Limited provides services including but not limited to:

  • Website Design & Development
  • App/Software Design & Development
  • Digital Marketing & Advertising
  • PR Services & Press Releases
  • Branding
  • Academic Journal Development & Indexing
  • Consultation & Training

All services are subject to:

  • Defined scope
  • Project-specific agreements (where applicable)

Any service not explicitly agreed upon is considered outside scope.


4. SERVICE ACCESS & AVAILABILITY

We strive to maintain consistent access to our services. However:

  • We do not guarantee uninterrupted or error-free access
  • Services may be modified, suspended, or discontinued at any time without prior notice
  • We are not liable for any disruption or unavailability

5. PAYMENT TERMS (GENERAL)

All payments for services are governed by the Client Service Agreement and any applicable proposal or invoice.

By engaging our services, you agree that:

  • Deposits are non-refundable
  • Payments must be made within agreed timelines
  • Failure to pay may result in service suspension or termination

Detailed enforcement policies are outlined in the Client Service Agreement.


6. CLIENT RESPONSIBILITIES

Users and clients agree to:

  • Provide accurate and lawful information
  • Cooperate in project execution where applicable
  • Use services in compliance with all applicable laws

Failure to meet these obligations may affect service delivery and may lead to suspension or termination.


7. INTELLECTUAL PROPERTY

All intellectual property created by Techmita Limited remains the property of the Company until full payment is made.

Upon fulfillment of payment obligations:

  • Rights may be transferred as defined in the applicable agreement

Techmita Limited retains the right to:

  • Showcase completed work
  • Use deliverables for portfolio and marketing purposes

8. THIRD-PARTY SERVICES

Our services may involve third-party platforms including:

  • Hosting providers
  • Domain registrars
  • APIs and integrations

Techmita Limited is not responsible for:

  • Third-party service failures
  • Downtime or disruptions
  • External platform policies or limitations

9. CONTENT RESPONSIBILITY

Clients and users are solely responsible for:

  • All content submitted or used
  • Ensuring legal rights to such content

Techmita Limited is not liable for:

  • Copyright infringement
  • Illegal or inappropriate content

10. WARRANTIES & DISCLAIMER

All services are provided on an “as is” and “as available” basis.

Techmita Limited:

  • Does not guarantee uninterrupted operation
  • Does not guarantee specific business outcomes or results

All implied warranties are disclaimed to the fullest extent permitted by law.


11. LIMITATION OF LIABILITY

Techmita Limited does not guarantee any specific results or outcomes from the services provided.

Under no circumstances shall Techmita Limited be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, data, or business opportunities.

In all cases, the total liability of Techmita Limited shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.


12. DATA LOSS & SECURITY

  • We implement reasonable measures to protect data
  • However, we are not liable for data loss, breaches, or corruption unless caused by proven negligence
  • Users are responsible for maintaining the security of their own accounts

13. CONFIDENTIALITY

We respect the confidentiality of client information.

Both parties agree not to disclose confidential information except:

  • With consent
  • Where required by law

14. TERMINATION

Techmita Limited reserves the right to:

  • Suspend or terminate access to services
  • Refuse service where necessary

Termination conditions are further defined in the Client Service Agreement.


15. INDEMNIFICATION

You agree to indemnify and hold Techmita Limited harmless from any claims arising from:

  • Misuse of services
  • Violation of these Terms
  • Breach of any agreement
  • Violation of third-party rights

16. FORCE MAJEURE

Techmita Limited shall not be liable for delays or failures caused by events beyond its control, including:

  • Internet outages
  • Government actions
  • Natural disasters

17. RESULTS DISCLAIMER

Techmita Limited does not guarantee:

  • Sales
  • Leads
  • Engagement
  • Rankings

Unless explicitly stated in writing.


18. DISPUTE RESOLUTION

Both parties agree to attempt amicable resolution or mediation before pursuing legal action.


19. GOVERNING LAW

These Terms shall be governed by the laws of Akwa Ibom State, Nigeria.


20. AMENDMENTS

Techmita Limited reserves the right to update these Terms at any time.

Continued use of our services constitutes acceptance of updated Terms.


21. ENTIRE AGREEMENT

These Terms, together with the Client Service Agreement and any project-specific documents, constitute the full agreement between both parties.


22. ACCEPTANCE

By using Techmita Limited’s services, you confirm that you have read, understood, and agreed to these Terms of Service and all related agreements.
