Client: Any individual, business, or organization engaging Techmita Limited for services
1. INTRODUCTION
This Client Service Agreement (“Agreement”) is entered into by and between Techmita Limited (“we,” “our,” or “the Company”) and any party (“Client”) engaging our services.
By proceeding with any of our services, the Client confirms that they have read, understood, and agreed to be bound by this Agreement, including all referenced Terms, Conditions, and Disclaimers.
2. SCOPE OF SERVICES
Techmita Limited provides technology and business-related services, including but not limited to:
- Website Design & Development
- App/Software Design & Development
- Digital Marketing & Advertising
- PR Services & Press Releases
- Branding
- Academic Journal Development & Indexing
- Consultation & Training
Each project may or may not be governed by a separate proposal or invoice, clearly outlining:
- Scope of work
- Deliverables
- Timelines
- Payment structure
Any service not explicitly stated in the agreed scope shall be considered out of scope.
3. SCOPE LIMITATION & ADDITIONAL WORK
The agreed project scope includes only the deliverables outlined in the proposal.
- A maximum number of revisions may be defined per project.
- Any additional requests, modifications, or features outside the agreed scope will be treated as extra work and billed separately.
- Techmita Limited reserves the right to decline or re-quote additional requests.
4. PAYMENT TERMS
4.1 Payment Structure
Unless otherwise agreed in writing:
- A non-refundable deposit is required before project commencement
- Remaining balance must be paid according to agreed milestones or before final delivery
4.2 Payment Default & Project Cancellation
All payments must be made within the agreed timeline.
- Failure to make payment within 7 days of due date will result in automatic project suspension
- If payment remains unpaid for 14 days, the project will be terminated and considered cancelled
In such cases:
- All payments made remain non-refundable
- All work completed remains the property of Techmita Limited
- The Client forfeits rights to unfinished deliverables
Reactivation of such projects:
- Is not guaranteed
- Will be subject to a reactivation fee
- May require new pricing, timeline, and agreement terms
5. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide all required materials, content, and access in a timely manner
- Give prompt feedback and approvals
- Ensure all provided content complies with applicable laws
Failure to meet these responsibilities may result in:
- Project delays
- Additional fees
- Project suspension or cancellation
6. CLIENT DELAYS, INACTIVITY & PROJECT ABANDONMENT
- If the Client becomes unresponsive or fails to provide required input for 5 consecutive days, the project will be automatically paused
- If inactivity extends beyond 10 days, the project will be deemed abandoned and cancelled
In such cases:
- All payments remain non-refundable
- Techmita Limited is not obligated to continue under previous terms
Reactivation will:
- Attract a reactivation fee
- Require new timelines and possible cost adjustments
- Be subject to approval at the Company’s discretion
7. TIMELINES & DELIVERY
Project timelines are estimates and depend on:
- Timely client cooperation
- Prompt approvals
- External dependencies
Delays caused by the Client will:
- Extend delivery timelines
- Remove the project from priority scheduling
Requests for urgent delivery after delays may attract rush fees.
8. APPROVAL & FINAL DELIVERY
Any deliverable approved by the Client (via message, email, or written confirmation) shall be considered final and accepted.
- Any further changes after approval will be treated as new work and billed accordingly.
9. INTELLECTUAL PROPERTY & OWNERSHIP
- All work created by Techmita Limited remains its intellectual property until full payment is completed
- Upon full payment, the Client receives usage rights as defined in the agreement
- Techmita Limited retains the right to:
- Display the project in its portfolio
- Use it for marketing and promotional purposes
Design Credit
Techmita Limited reserves the right to include a design credit unless otherwise agreed.
10. THIRD-PARTY SERVICES
Techmita Limited may use third-party tools or services, including:
- Hosting providers
- Domain registrars
- APIs, plugins, and integrations
We are not responsible for:
- Downtime
- Service disruptions
- Third-party failures
11. MAINTENANCE & SUPPORT
- Post-delivery support is limited to a defined period (if specified)
- Ongoing support, updates, or maintenance require a separate agreement or subscription
12. CONTENT RESPONSIBILITY
The Client is solely responsible for:
- All content provided
- Legal rights to use such content
Techmita Limited is not liable for:
- Copyright violations
- Illegal or inappropriate content
13. CONFIDENTIALITY
Both parties agree to:
- Maintain strict confidentiality of shared information
- Do not disclose sensitive information without consent
14. WARRANTIES & LIMITATION OF LIABILITY
Limited Warranty
Techmita Limited guarantees professional service delivery but does not guarantee specific outcomes unless stated in writing.
Limitation of Liability
We are not liable for:
- Loss of profits
- Data loss
- Business interruption
Techmita Limited does not guarantee any specific results or outcomes from the services provided. Under no circumstances shall Techmita Limited be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, data, or business opportunities. In all cases, the total liability of Techmita Limited shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
15. DATA LOSS & SECURITY
While best practices are followed:
- Techmita Limited is not responsible for data loss, breaches, or corruption unless caused by proven negligence
- The Client is responsible for maintaining account security
16. FORCE MAJEURE
Techmita Limited shall not be held liable for delays or failures caused by events beyond its control, including:
- Internet failures
- Government actions
- Natural disasters
17. RESULTS DISCLAIMER
Techmita Limited does not guarantee:
- Sales
- Leads
- Engagement
- Rankings
Unless explicitly stated in writing.
18. TERMINATION
Either party may terminate this Agreement with 14 days written notice.
Immediate termination may occur in cases of:
- Non-payment
- Breach of agreement
19. INDEMNIFICATION
The Client agrees to indemnify and hold Techmita Limited harmless from any claims arising from:
- Misuse of services
- Breach of agreement
- Violation of third-party rights
20. DISPUTE RESOLUTION
Both parties agree to attempt amicable resolution or mediation before pursuing legal action.
21. GOVERNING LAW
This Agreement shall be governed by the laws of Akwa Ibom State, Nigeria.
22. AMENDMENTS
Techmita Limited reserves the right to update this Agreement at any time. Continued use of services implies acceptance of updates.
23. ENTIRE AGREEMENT
This document represents the entire agreement between both parties and supersedes all prior agreements.
24. ACCEPTANCE
By engaging Techmita Limited, the Client acknowledges that you have read, understood, and agreed to this Client Service Agreement, as well as the accompanying Terms and Conditions and Disclaimer.
